WhoIsMyDentist.com is not a consumer reporting agency as defined by the Fair Credit Reporting Act, 15 U.S.C. § 1681 et seq. ("FCRA"). The information on this Site may not be used, in whole or in part, as a factor in: (a) establishing a consumer's eligibility for credit, insurance, or employment; (b) any other purpose authorized under the FCRA; or (c) any decision regarding tenant screening, background checks, or any other permissible purpose under the FCRA. Any use of this Site for such purposes is expressly prohibited.
Acceptance of Terms
By accessing or using WhoIsMyDentist.com (the "Site"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Site.
These Terms constitute a legally binding agreement between you and WIMD Holdings, Inc., a Delaware corporation ("Company," "we," "us," or "our").
Where the Site presents a checkbox, button, or similar mechanism requesting your agreement to these Terms, clicking or selecting that mechanism constitutes your affirmative acceptance of these Terms. Where no such mechanism is presented, your access to or use of the Site constitutes your acceptance of these Terms. You represent that you are at least the age of majority in your jurisdiction and have the legal capacity to enter into these Terms.
Nature of the Service — Public Records Platform
WhoIsMyDentist.com is a transparency and informational platform that aggregates and republishes publicly available government records concerning dental professionals, including state-issued license numbers and status, publicly disclosed board disciplinary actions, and practice locations. All practitioner data displayed on this Site is sourced directly from official government entities, including but not limited to State Boards of Dentistry, Departments of Health, and other state licensing authorities, all of which release this information as a matter of public record.
The Site republishes publicly available information from government sources and does not independently verify all data. Users acknowledge that all dental licensing and disciplinary information originates with, and is maintained by, the relevant government agency — not the Company. Information displayed on the Site may not always reflect the most current data available from government sources.
Not a Consumer Reporting Agency
The Company is not a consumer reporting agency under the FCRA. Information on this Site is provided solely for general informational and transparency purposes regarding publicly licensed dental professionals. Specifically, information on this Site:
- May not be used to evaluate an individual for employment, promotion, reassignment, or retention as an employee.
- May not be used as a factor in extending credit or insurance.
- May not be used for tenant screening or any housing-related decision.
- May not be used for any other purpose that would make the Company a "consumer reporting agency" under the FCRA.
Any person who obtains information from this Site for any FCRA-regulated purpose does so in violation of these Terms and in violation of the FCRA, and shall indemnify and hold harmless the Company from any resulting claims or liability.
Any access to or use of the Site in violation of this FCRA restriction is a material breach of these Terms. The Company reserves the right to immediately suspend or terminate the violating party's access to the Site, with or without notice, in addition to pursuing any civil, injunctive, or other legal remedies available under the FCRA and applicable law.
Data Accuracy and Disclaimers
The information provided on WhoIsMyDentist.com is provided on an "AS-IS" and "AS-AVAILABLE" basis. The Company makes no representations or warranties of any kind, express or implied, regarding the accuracy, completeness, reliability, or timeliness of any information displayed.
- Synchronization Delays: Because we aggregate large public datasets, there may be a delay between when a state agency updates a practitioner's record (e.g., a license renewal or a disciplinary action) and when that update is reflected on our Site. Such delays are inherent to the nature of aggregating government data and do not represent a misrepresentation by the Company.
- No Guarantee of Accuracy: We do not warrant the completeness, accuracy, or timeliness of the data displayed. You acknowledge that public records may occasionally contain errors or be subject to caching delays, and that the Company bears no responsibility for errors that originate with the source government agency.
- Official Verification Required: The Site is not a primary source of truth. Users must independently verify a dental professional's current license status and disciplinary history directly with the relevant official state licensing board before making any medical, professional, or hiring decisions.
- Data Correction: If you are a dental professional who believes the public record data displayed about you is inaccurate, you should contact the applicable state licensing board to correct the underlying government record. The Company displays data as provided by government sources and is not the appropriate party to modify official government records. We also provide a process for users to submit requests to correct or update information displayed on the Site, which we review based on available documentation and applicable data verification standards.
You acknowledge and agree that the Company is not liable for any decision, action, or omission made in reliance on information displayed on the Site, including information that is outdated, incomplete, or inaccurate, and including any delay, omission, or error that originates with the Company's own aggregation, synchronization, or caching processes. You assume sole responsibility for independently confirming the accuracy and current status of any practitioner record directly with the relevant government agency before making any medical, professional, hiring, or other decision based on that record.
No Medical or Professional Advice
Nothing on this Site constitutes medical advice, professional advice, or a recommendation to use or avoid any dental professional. The Site provides informational access to public records only. Users are solely responsible for all decisions regarding their dental care, and the Company is not liable for any outcomes resulting from choices made in reliance on information found on this Site. The Company does not recommend, endorse, rate, certify, or guarantee the qualifications, competence, quality of care, or suitability of any dental professional listed on the Site. Inclusion of a dental professional on the Site does not constitute an endorsement, recommendation, certification, or approval by the Company.
Profile Claiming for Dental Professionals
If you are a dental professional listed in public records, you may have the option to "claim" your profile on the Site. By claiming a profile, you represent and warrant that:
- You are the specific individual associated with that professional license.
- You will provide accurate, current, and complete information during the verification process.
- You will not use the platform to misrepresent your credentials, practice details, or board status.
We reserve the right to deny, suspend, or revoke any profile claim at our sole discretion, particularly in cases of suspected fraud or misrepresentation. We may also require additional verification before approving claims relating to practice locations, offices, or other business information associated with a practitioner profile. Claiming a profile does not grant you the right to remove, alter, or suppress any underlying public government record data displayed on the Site.
User Content and Professional Submissions
Dental professionals and users may have the ability to submit, edit, or provide additional information associated with profiles ("User Content"). You are solely responsible for any User Content you submit. By submitting content, you represent and warrant that:
- The information is accurate, current, and not misleading.
- You have the right to provide such content.
- The content does not violate any applicable law or third-party rights.
By submitting content, you grant the Company a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute such content in connection with the operation of the Site.
We reserve the right to review, modify, remove, or refuse any User Content at our sole discretion. User-submitted content does not reflect the views or endorsement of the Company.
User submissions, including profile claims, office claims, office corrections, office additions, and similar contributions, may be reviewed for accuracy, authenticity, and compliance with these Terms before publication. Submission of information does not guarantee publication or acceptance.
Users may also submit reports regarding the accuracy of profile information or potential violations of these Terms. We may investigate such reports in our sole discretion, but submission of a report does not guarantee removal, modification, or other action regarding any profile or content.
The Company reserves the right to report any User Content that it reasonably believes to be fraudulent, false, or misleading, together with the identity of the submitting party, to the relevant state licensing board, regulatory authority, or law enforcement agency.
The license you grant to the Company in your User Content continues for as long as that User Content remains on the Site. You may request removal of User Content you submitted, and the Company will honor reasonable removal requests within a commercially reasonable period, except that this license survives with respect to (a) copies retained for legal, compliance, or backup purposes and (b) any User Content that has been aggregated or de-identified so that it no longer identifies you. For clarity, no license you grant extends to the underlying public government records, which the Company displays independently of any User Content.
Acceptable Use
You agree not to use the Site to:
- Violate any applicable local, state, federal, or international law or regulation.
- Engage in automated scraping, data extraction, harvesting, or bulk downloading of our aggregated databases without our prior written consent.
- Access, monitor, or copy any portion of the Site using any robot, spider, scraper, crawler, or other automated means, or circumvent, disable, or interfere with any rate limiting, robots.txt directive, CAPTCHA, or other technical measure used to restrict automated access, regardless of any general permission to use the Site. Any automated or bulk access requires a separate written data-license or API agreement with the Company.
- Attempt to bypass, compromise, probe, or test the vulnerability of our security measures, including our cloud infrastructure and authentication protocols.
- Harass, defame, threaten, or otherwise abuse any dental professional listed on the Site.
- Use any information obtained from the Site for any purpose prohibited by the FCRA or any applicable law.
- Misrepresent your identity or affiliation in connection with any use of the Site.
Billing and Subscriptions
Certain features or services offered through the Site may require payment, including voluntary contributions and any optional paid features that may be offered from time to time.
If you choose to make a contribution or purchase a paid feature, you agree to pay all applicable fees and authorize our third-party payment processor, such as Stripe, to process your payment. We do not store your full payment card information.
Unless otherwise expressly stated at the time of purchase, payments, including contributions, are non-refundable except as required by applicable law. The Company may, in its sole discretion, issue a refund, credit, or other accommodation where appropriate, but doing so in one instance does not obligate the Company to do so in any other instance.
The Company may introduce, modify, discontinue, or change the pricing of paid features at any time. If a paid feature involves recurring billing, renewal terms, or other additional payment conditions, those terms will be clearly disclosed before you complete your purchase.
Intellectual Property
All content, design, text, graphics, logos, and compilation of data on the Site are owned by the Company or its licensors and are protected by applicable intellectual property laws.
You may not copy, reproduce, distribute, or create derivative works from any part of the Site without prior written consent from the Company.
The Site may display or link to content and records originating from third-party and government sources. The Company claims no ownership of underlying public records, which remain the property of, and are maintained by, the issuing government agencies.
The Company respects the intellectual property rights of others. If you believe that content on the Site infringes your intellectual property rights, you may submit a notice to support@whoismydentist.com identifying the content at issue and the basis for your claim, and the Company will review and address the notice as appropriate, which may include removing or disabling access to the content.
Termination
We reserve the right to suspend or terminate your access to the Site at any time, with or without notice, for any violation of these Terms or for any other reason at our sole discretion.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO:
- Your access to or use of (or inability to access or use) the Site.
- Any errors, inaccuracies, omissions, or delays in the public data displayed, including those originating with the source government agency.
- Any medical, business, professional, or personal decisions made based on information found on the Site.
- Any unauthorized access to or alteration of your transmissions or data.
IN NO EVENT SHALL THE COMPANY'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO USE OF THE SITE EXCEED ONE HUNDRED DOLLARS ($100.00). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
Without limiting the foregoing, the Company is not liable for any indirect, incidental, or consequential damages arising from the acts or omissions of third parties, including any unauthorized access to, hacking of, or interference with the Site or with your data or transmissions, except to the extent such damages result directly from the Company's failure to maintain reasonable security measures as required by applicable law.
Nothing in these Terms excludes or limits the Company's liability for fraud, gross negligence, or willful misconduct, or for any other liability that cannot be excluded or limited under applicable law. Where applicable law does not permit the exclusion or limitation of certain warranties or damages, the limitations in this section apply only to the maximum extent permitted by that law.
Indemnification
You agree to defend, indemnify, and hold harmless the Company and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of or access to the Site; (b) your violation of these Terms; (c) your violation of any third-party right, including any intellectual property, privacy, or publicity right; or (d) your use of Site information for any purpose prohibited by these Terms or by applicable law, including the FCRA.
Dispute Resolution and Binding Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
Any dispute, claim, or controversy arising out of or relating to these Terms or the use of the Site that cannot be resolved informally within thirty (30) days of written notice shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, rather than in court. The arbitration shall be conducted on an individual basis. YOU AND THE COMPANY EACH WAIVE THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION OR CLASS ARBITRATION.
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights. Nothing in this section shall prevent the Company from seeking emergency injunctive relief.
Right to Opt Out. You may opt out of this arbitration agreement within thirty (30) days after you first accept these Terms by sending written notice to support@whoismydentist.com that states your name and your intent to opt out of arbitration. If you opt out within this period, neither you nor the Company will be required to arbitrate, and opting out will have no effect on any other provision of these Terms. If you do not opt out within thirty (30) days, you are bound by this arbitration agreement.
Unless you and the Company agree otherwise, any arbitration hearing will be conducted by videoconference or telephone, or decided on the basis of written submissions, except that the arbitrator may direct an in-person hearing on a showing of good cause. Any in-person hearing will take place in the county of your residence or another mutually agreed location.
Governing Law and Venue
These Terms and any dispute arising hereunder shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles. For any matter not subject to arbitration under the Dispute Resolution and Binding Arbitration section above, you consent to the exclusive jurisdiction of the state and federal courts located in the State of Delaware.
Nothing in this section deprives you of the protection of any mandatory consumer-protection law of the jurisdiction in which you reside that cannot be waived by agreement. To the extent any such mandatory law applies and conflicts with the governing-law or venue provisions above, that mandatory law controls solely to the extent of the conflict, and the remainder of this section continues in full force and effect.
Modifications to Terms
We reserve the right to modify these Terms at any time. We will provide notice of significant changes by updating the "Effective Date" at the top of this document. Your continued use of the Site after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must discontinue use of the Site.
For any material change to these Terms, the Company will provide advance notice by email to the address associated with your account, where applicable, or through a prominent notice on the Site, at least fifteen (15) days before the change takes effect. Material changes will not apply retroactively and will take effect only on or after the stated effective date.
Force Majeure
The Company is not liable for any failure or delay in performance, or for any interruption of the Site, caused by events beyond its reasonable control, including acts of God, natural disasters, fire, flood, epidemic or pandemic, war, terrorism, civil unrest, labor disputes, governmental action, power or telecommunications failure, cyberattack, or failure of third-party service providers or infrastructure.
Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions of these Terms shall continue in full force and effect.
Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and the Company with respect to your use of the Site and supersede all prior or contemporaneous communications, agreements, and understandings, whether oral or written, between you and the Company regarding the Site.
The Privacy Policy is incorporated into these Terms by reference and forms part of your agreement with the Company. By accessing or using the Site, you also agree to the Privacy Policy. In the event of a direct conflict between these Terms and the Privacy Policy regarding the collection, use, or disclosure of personal information, the Privacy Policy controls with respect to that subject matter.
These Terms are drafted in English. Any translation is provided for convenience only. In the event of any conflict between the English version and a translated version, the English version controls.
